1. ACCEPTANCE OF TERMS

By utilizing the Everafter Innovations platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are entering into these Terms on behalf of a corporation or other legal entity, you represent that you have the legal authority to bind such entity to these conditions.

2. DESCRIPTION OF SERVICES

Everafter Innovations LLC provides an enterprise-grade B2B SaaS platform specializing in Contract Lifecycle Management (CLM), Customer Relationship Management (CRM), and Operational Workflow Automation for regulated service industries. Our services include, but are not limited to, the administration of long-term service agreements, automated client engagement triggers, and data-driven compliance reporting.

3. USER ACCOUNTS AND SECURITY

To access certain features of the platform, Users may be required to maintain an authorized account.

• Responsibility: You are responsible for maintaining the confidentiality of account credentials.

• Unauthorized Use: You must immediately notify the Company of any unauthorized use of your account or any other breach of security.

• Accuracy: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.

4. INTELLECTUAL PROPERTY RIGHTS

All content, software, architecture, Event-Driven frameworks, ETL pipelines, and proprietary algorithms utilized within the platform are the exclusive intellectual property of Everafter Innovations LLC or its licensors.

• Limited License: We grant you a limited, non-exclusive, non-transferable license to access the platform strictly for professional business operations.

• Restrictions: You may not reverse-engineer, decompile, or attempt to extract the source code of the software, nor may you utilize the platform to develop a competing product.

5. DATA PRIVACY AND GDPR COMPLIANCE

Everafter Innovations LLC is committed to high standards of data integrity and privacy.

• Processing: For Users and Clients located in the European Economic Area (EEA), the Company processes personal data in accordance with the General Data Protection Regulation (GDPR).

• Security: We implement standardized administrative and technical safeguards designed to protect the integrity of contract portfolio data and sensitive account information.

6. PROHIBITED CONDUCT

Users agree not to:

• Use the platform for any fraudulent or illegal purpose.

• Interfere with the operational integrity or security of the platform’s infrastructure.

• Upload or transmit malicious code, viruses, or harmful data.

• Access the platform in a manner that exceeds authorized service level agreements (SLAs).

7. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Everafter Innovations LLC shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or operational continuity, arising out of or in connection with the use of our services. Our total liability shall not exceed the fees paid by the Client for the specific service in question.

8. DISCLAIMER OF WARRANTIES

The platform and all related services are provided on an “AS IS” and “AS AVAILABLE” basis. We make no warranties, express or implied, regarding the continuous availability, accuracy, or reliability of the platform in every jurisdiction, except as expressly stated in a formal Service Level Agreement (SLA).

9. TERMINATION

We reserve the right to suspend or terminate access to our services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to the Company’s institutional interests or other Users.

10. GOVERNING LAW AND JURISDICTION

These Terms and any disputes arising from the use of the platform shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding related to these Terms shall be brought exclusively in the courts of Delaware.

11. AMENDMENTS

We reserve the right to modify these Terms at any time. Professional clients will be notified of material changes via the platform interface or through official communication channels. Continued use of the platform following such changes constitutes acceptance of the revised Terms.
